The Competition Commission of India (CCI) has approved French firm Concessoc 41 SAS’s plan to buy 100% of Vishavari Tollway Private Limited and nine road SPVs.
Who is buying
Concessoc 41 SAS is incorporated under French law. VINCI S.A. ultimately controls it, through VINCI Highways and VINCI Concessions.
VINCI S.A. is a global player in concessions, energy and construction. It operates in over 120 countries.
What is being sold
The buyer will take over 100% of the shares in ten companies. The sellers are MAIF 2 Investments India 2 Pte. Ltd. and MAIF 2 Investments India 3 Pte. Ltd.
The nine Target SPVs are:
- Siddhantham Tollway Private Limited
- Diwantham Tollway Private Limited
- Diwancheruvu Tollway Private Limited
- Ankapalli Tollway Private Limited
- Icchapuram Tollway Private Limited
- Puintola Tollway Private Limited
- Bamanbore Tollway Private Limited
- Garamore Tollway Private Limited
- Porbandar Jetpur Tollway Private Limited
Highways and services
The Target SPVs run specific stretches of national highways. These are in Andhra Pradesh, Odisha and Gujarat.
Vishavari Tollway Private Limited provides operation and maintenance services. It also provides engineering, procurement and construction services for highway assets run by the Target SPVs.
