The Competition Commission of India (CCI) has approved the acquisition of sole control over Omega-Meyer Limited and Meyer Organics Private Limited by BCPE Wellbeing Holdco Two Limited and Integral Investments Asia IV Limited, which are funds managed and/ or advised by Bain Capital.

The Proposed Combination relates to acquisition of sole control over Omega-Meyer Limited (Cyan Target) and Meyer Organics Private Limited (Meyer Target), which own and control the group of companies and affiliates doing business as ‘Vitabiotics’ and ‘Meyer Organics’ respectively, by funds managed and/ or advised by Bain Capital Investors, LLC (Bain Capital) acting through BCPE Wellbeing Holdco Two Limited (Acquirer 1) and Integral Investments Asia IV Limited (Acquirer 2).

Bain Capital is a private equity investment firm based in the USA that invests in companies across a number of industries, including information technology, healthcare, retail and consumer products, communications, financial services and industrial/ manufacturing.

The Targets are engaged in provision of nutraceuticals globally as well as in India. Meyer Organics Private Limited also has presence in production and supply of some over-the-counter and prescription finished dose pharmaceuticals in India.
